END USER LICENSE AGREEMENT (EULA) – Consumer & Professional Use (DE – Informative English Translation) for DMP ONE (Hardware / Netzwerk-Player) DMP NEXUS CORE (Software for Windows and Linux) DMP NEXUS ASIO (Software for Windows) DMP NEXUS WAVERT (Software for Windows) Last updated: 17 April 2026 The contractual language is German. This End User License Agreement is provided to users in the English language for informational purposes only. In the event of discrepancies or differences in interpretation between the German version and this translation, the German version shall prevail exclusively. 1. Preamble This End User License Agreement (“EULA”) is a legally binding agreement between you (“User”) and 64bitAudio UG (haftungsbeschränkt), Zingerleweg 20, 14089 Berlin, Germany (“Licensor”). By installing, commissioning, first accepting this EULA by clicking a corresponding confirmation button, or otherwise using the Product, you agree to this EULA. If you do not agree, you may not use the Product. 2. Definitions Hardware means the physical streaming device provided by the Licensor, including its serial number. “Product” refers to all software components developed and provided by the Licensor, regardless of their installation environment, in particular: (a) the firmware preinstalled on the Hardware or provided for use with it, and (b) any applications, programs, drivers, auxiliary and configuration tools intended for the use, control, configuration, maintenance or functionality of the Hardware, which may be installed on external systems (e.g. Windows or Linux computers). The Product is licensed to the User exclusively as software and forms a unified technical system in conjunction with the Hardware. Software components provided by third parties that are subject to their own license terms (“Third‑Party Software”) do not constitute part of the Product within the meaning of this EULA. 3. Grant of License The Licensor grants you a simple, non‑exclusive, non‑transferable, non‑sublicensable, revocable right to use the Product solely in connection with the Hardware and only for its intended purpose. The Product is licensed, not sold. All rights not expressly granted remain with the Licensor. The Hardware also functions as a technical license key (license dongle) for the Product. Without the Hardware, use of the software is either technically impossible or functionally restricted. 4. Permitted Use Installation of the companion software on external systems (e.g. Windows or Linux) is permitted only insofar as it is used exclusively with the same Hardware. 5. Restrictions on Use In particular, it is prohibited to: copy, reproduce, extract or modify the Product or parts thereof, except where strictly required for operation; independently distribute, sell, make publicly available or provide the Product to third parties; use the Product separately from the Hardware; reverse engineer, decompile or disassemble the Product, except to the extent permitted by mandatory law (see Section 10); circumvent or remove technical protection measures. 6. Strict Prohibition of Redistribution Independent distribution of the firmware or the software installed on Windows/Linux systems is prohibited. In particular, firmware images, installation packages or software copies may not be transferred to third parties or made publicly available independently of the Hardware (e.g. via download servers, cloud storage or physical media). 7. Professional Use The Product may be used both by consumers and for professional or commercial purposes. This EULA applies equally to both user groups. 8. Resale of Hardware / Change of Ownership You may resell or permanently transfer the Hardware as a physical item. Upon permanent transfer of the Hardware: your right to use the Product automatically terminates; the new owner may use the Product only after agreeing to the then‑current EULA; the Product may not be transferred independently of the Hardware. 9. Intellectual Property The Product is protected by copyright. The Licensor remains the holder of all rights and interests in the Product. 10. Reverse Engineering – Statutory Exceptions Nothing in this EULA limits mandatory rights, in particular pursuant to Sections 69d and 69e of the German Copyright Act (UrhG) and Directive 2009/24/EC, insofar as reverse engineering is strictly necessary to achieve interoperability. 11. Third‑Party Software / Third‑Party Software Notices This EULA does not apply to Third‑Party Software. Third‑Party Software is subject exclusively to the respective original license terms of the rights holders. Third‑Party Software Notices are provided solely to fulfill license information obligations and do not form part of this EULA. The license texts of Third‑Party Software are provided unchanged, typically in English. 12. Updates The Licensor may provide updates. Updates may modify or expand functionality. Unless otherwise stated, updates are subject to this EULA. Statutory consumer rights relating to digital products remain unaffected. Supplement for Austria: For consumers in Austria, software and firmware updates will be provided to the extent required by law, in particular pursuant to the Austrian Consumer Warranty Act (Verbrauchergewährleistungsgesetz – VGG), insofar as such updates are necessary to maintain contractual conformity, security and functionality of the Product. 13. Warranty and Liability For consumers, statutory warranty rights under German law apply. Otherwise, the Licensor is liable without limitation in cases of intent or gross negligence, as well as for injury to life, body or health. In cases of slight negligence, the Licensor is liable only for breach of essential contractual obligations and limited to foreseeable damage. Mandatory statutory liability provisions remain unaffected. For consumers in Austria, the mandatory provisions of the Austrian Consumer Warranty Act (VGG) and the Consumer Protection Act (KSchG) apply with priority. Statutory warranty rights of consumers may neither be excluded nor limited. 13a. Licensing Character and Consumer Rights Although the Product is licensed to the User as software, this does not affect mandatory consumer protection provisions under Austrian law. In particular, statutory warranty, withdrawal and update rights of consumers in Austria remain unaffected, insofar as the software or Hardware qualifies as a digital service or goods with digital elements within the meaning of the Consumer Warranty Act. 14. Termination In the event of a breach of this EULA, the right of use terminates automatically. Use of the Product must be discontinued immediately. 15. Governing Law / Jurisdiction The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection provisions of the state of the consumer’s habitual residence remain unaffected. For business users, the place of jurisdiction is Berlin, Germany. Clarification for Austria: For consumers habitually resident in Austria, mandatory Austrian consumer protection laws, in particular the VGG and KSchG, remain unaffected. 15a. Target Market and Territorial Scope The current distribution of the Hardware and Software is directed exclusively at consumers and businesses with their habitual residence or registered office in the Federal Republic of Germany and the Republic of Austria. Mere technical access to or download of the Software from other Member States of the European Union does not constitute targeted market activity in those states. Consumer protection laws of other states apply only insofar as their application is mandated by compulsory European or national law. 16. Data Protection When using the Product, the Licensor does not process any personal data within the meaning of the General Data Protection Regulation (GDPR). In particular, the Product does not create usage profiles, collect telemetry or tracking data, or transmit any personal information to the Licensor or third parties. Any personal data processed outside the operation of the Product (e.g. in connection with sales, support requests, email contact or website use) is subject to a separate privacy policy and is not governed by this EULA. 17. Amendments to this EULA The Licensor may amend or supplement this EULA with effect for the future, provided there is a valid reason, in particular due to changes in legal requirements or to reflect new or modified Product functionalities. Amendments do not affect rights already granted, the essential contractual content, or existing liability provisions. Users will be informed of material changes in an appropriate manner, in particular in connection with a software update.If the User does not agree with an amended EULA, they are entitled to discontinue use of the Product. 18. Severability Should any provision of this EULA be or become invalid, the validity of the remaining provisions shall remain unaffected. 19.
